The Mangrove Partners Master Fund, Ltd., together with the other participants named above (collectively, “Mangrove”), has filed with the Securities and Exchange Commission a definitive proxy statement and an accompanying proxy card to be used to solicit votes against the proposed merger (the “Proposed Transaction”) between Penn Virginia Corporation, a Virginia corporation (“Penn Virginia” or the “Issuer”), and Denbury Resources Inc., a Delaware corporation (“Denbury”) at the upcoming April 17, 2019 special meeting of stockholders of the Issuer.
On March 21, 2019, Mangrove issued a presentation on the Proposed Transaction, a copy of which is attached hereto as Exhibit 99.1.
